These products, namely representation and warranty, tax opinion, tax credit and contingent liability insurance are now being used more regularly by buyers and sellers and their advisors to quantify, price and allocate risk. In doing so, XL Catlin is expanding it's suite of products to key clients while creating a more efficient means for them to close deals and reduce uncertainty.XL Catlin has an opportunity for an individual experienced in transactional insurance, to lead the development of our Americas platform. As Head of Mergers and Acquisition Insurance, Americas you would work with the global head to shape critical product, distribution and geographic plans and lead the build out our underwriting capability in the Americas region.What will your essential responsibilities include?Work with Global Head in defining underwriting appetite for key product lines and geographiesLeadership and management of the regional underwriting team.Recruit and train new hires. Actively coach and mentor underwriting staff, developing employees by fostering opportunity for professional growth.Assist with the development and evolution of underwriting guidelines. Identify structural drivers of risk and incorporate into underwriting and pricing models.Develop and cultivate relationships with internal colleagues, insurance brokers and key constituents amongst the deal making community - M&A law firms, private equity firms, corporate business development departments, investment bankers. Generate submission flow. Cultivate new sources of distribution.Attend industry conferences and position XL Catlin as thought leader via panels, seminars, training sessions and other speaking engagements.Support media communications strategy including public speaking, drafting marketing materials, and authoring M&A insurance white papers and articles for industry trade publications.Achieve profitable production goals.Analyze purchase & sale agreements, disclosure schedules, target company financial statements, buyer & seller due diligence reports.Review financial statements and assess target business' overall condition, identifying areas of balance sheet, income statement and operational risk.Review representation and warranties to evaluate risk allocation between buyer and seller. Identify high risk representations in light of Target Company's overall business model, industry and financial health.Engage and direct outside counsel as part of phase two due diligence process. Evaluate adequacy of seller disclosure process and buyer's due diligence review.Determine policy pricing, terms and conditions.Draft policy wordings. Specifically address risks unique to each transaction.Negotiation of policy premiums, terms and conditions.You will report to the Global Head, Mergers and Acquisitions Insurance.
